Terms of Service

1. Acceptance

By accessing or using Vertapass (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Service description

Vertapass helps small B2B suppliers organise and review answers to customer sustainability questionnaires. The Service provides baseline guidance, suggested question mapping and downloadable response tables or documents. Downloads may be partial and do not complete the buyer’s original workbook or submit to a buyer platform.

3. Not legal advice

Vertapass does not provide legal, tax, or professional compliance advice. The platform offers informational guidance based on public regulatory frameworks. You should consult qualified professionals for compliance decisions that affect your business. Your team is responsible for checking the facts, source records and final response. A reviewed status is your team’s review flag, not independent assurance, and does not guarantee completeness, compliance, a rating or buyer acceptance.

4. Accounts and access

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• Each organisation account is isolated; you may not access another organisation’s data.
• We reserve the right to suspend accounts that violate these terms.

5. Request Passes, subscriptions and billing

• A one-off Request Pass adds one export credit to your organisation. The first successful export uses it to unlock one saved questionnaire.
• You can edit and export that same saved questionnaire again in supported formats without buying another pass. Uploading a file again creates a separate questionnaire and does not inherit the original unlock.
• No additional expiry or revision limit is introduced for existing one-off purchases by these terms. Access also depends on the account and data remaining available under the applicable retention policy.
• Existing subscriptions provide unlimited exports while their export entitlement is active. Subscription renewal, charge and cancellation dates are shown in checkout or the Stripe billing portal.
• Ending a subscription stops unlimited exports of additional requests. A questionnaire with a saved successful-export unlock can be exported again without another credit. Historical subscription exports without that unlock may require a Request Pass; contact us before cancelling if you need to check access to prior work.
• The final charge and any applicable taxes are shown in checkout. Buyer-platform membership or assessment fees are separate.
• Payment is for software access, not independent evidence verification, professional review, certification or a guaranteed buyer result. Any hands-on pilot work requires a separate agreement.
• Contact us about payment or technical export problems. Refunds are provided in accordance with applicable law; these terms do not limit any rights that cannot lawfully be excluded.

6. Your data

You retain ownership of all data you upload or input into Vertapass. We process your data solely to provide the Service, as described in our Privacy Policy. Where we process personal data on behalf of a customer as processor, the relevant terms are described in our Data Processing Agreement.

7. Acceptable use

You agree not to:

• Use the Service for unlawful purposes.
• Attempt to gain unauthorised access to other accounts or systems.
• Reverse-engineer, decompile, or disassemble the Service.
• Upload malicious files or content designed to exploit the platform.

8. Limitation of liability

To the maximum extent permitted by law, Vertapass Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

You may delete your account at any time from your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy retention schedule.

10. Governing law

These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect.
