By accessing or using Vertapass (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Service description

Vertapass is a compliance understanding platform that helps small and medium-sized businesses identify applicable ESG, CSRD, and regulatory requirements. The Service provides automated requirement mapping, guided action plans, and evidence management tools.

3. Not legal advice

Vertapass does not provide legal, tax, or professional compliance advice. The platform offers informational guidance based on public regulatory frameworks. You should consult qualified professionals for compliance decisions that affect your business.

4. Accounts and access

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• Each organisation account is isolated; you may not access another organisation’s data.
• We reserve the right to suspend accounts that violate these terms.

5. Subscriptions and billing

• Paid features require an active subscription managed through Stripe.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are provided in accordance with applicable consumer protection laws.

6. Your data

You retain ownership of all data you upload or input into Vertapass. We process your data solely to provide the Service, as described in our Privacy Policy.

7. Acceptable use

You agree not to:

• Use the Service for unlawful purposes.
• Attempt to gain unauthorised access to other accounts or systems.
• Reverse-engineer, decompile, or disassemble the Service.
• Upload malicious files or content designed to exploit the platform.

8. Limitation of liability

To the maximum extent permitted by law, Vertapass Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

You may delete your account at any time from your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy retention schedule.

10. Governing law

These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect.
